Business continuity
This is a translation provided for convenience only. In the event of any discrepancy, the French version alone is legally binding.
SYNAPTIIK has formalized a continuity plan covering major unavailability scenarios — whether technical (failure of a critical subcontractor) or organizational (unavailability of the founder). This page publicly summarizes the measures in place. The detailed plan is made available to Agency Scale clients under a confidentiality undertaking.
1. Legal aspect — founder
The personal continuity of the founder, Franck FROMONT, is secured by:
- A durable power of attorney (art. 477 of the French Civil Code) signed before a notary, activable in the event of temporary or lasting incapacity;
- A will organizing the transfer of the business (sole proprietorship) and operational continuity;
- Key-person insurance (subscription planned for Phase 2, once stable recurring revenue is reached) covering €200 to €500k to cushion the transition period.
2. Technical aspect — escrow
| Critical asset | Storage | Emergency access |
|---|---|---|
| Infrastructure secrets (Vercel, Supabase, Stripe, Backblaze, DNS registrar) | 1Password Business + notarized envelope | Trusted representative + notary |
| Application source code | Private GitHub + encrypted clone, notarized archive | Trusted representative takes over ownership of the GitHub organization |
| Database backups | Supabase + Backblaze EU + notarized master key | Documented restoration procedure |
| Subcontractor and supplier contracts | Encrypted Drive space + paper copy with notary | Notary + trusted representative |
Production backups are automated (daily incremental + weekly full) and tested quarterly (restoration in an isolated environment).
3. Trusted representative
A trusted representative is expressly named in the notarized mandate. Their role is to ensure operational continuity of the service during a 90-day transition phase, during which the following are pursued:
- Option A — takeover of the business by an identified successor (conventional transfer);
- Option B — assisted migration of clients to a competing solution with a complete export within 15 business days;
- Option C — orderly wind-down: 30 days' prior notice, data export, secure deletion in accordance with the DPA.
4. Contractual commitment to the client
In the event of a major incident compromising service continuity for more than 30 consecutive days, SYNAPTIIK commits to:
- notify the client within 72 hours;
- allow a complete data export within 15 business days;
- ensure secure deletion of data if the service cannot resume;
- grant the client a right of termination with no notice period or penalty.
This commitment is formalized in Article 11 of the Data Processing Agreement.
5. Update and audit
The continuity plan is reviewed annually or upon any significant change (change of founder, of critical subcontractor, of legal structure). A summary is published on this page; the detailed plan can be audited by Agency Scale clients under a confidentiality clause, under the conditions set out in Article 12 of the DPA.
